Questions about these terms: support@panovaax.com

1. Operator and document status

This preliminary document is prepared for PanovaaX Technologies Ltd, the proposed operator of PanovaaX. It is a first draft for founder and Nigerian legal counsel review, not an approved policy or a representation of regulatory compliance. It does not take effect merely because it is displayed or read.

PanovaaX connects organisations, their people and participating merchants and service providers through lifestyle benefits, everyday services and experiences. The features and contractual responsibilities described here must be checked against the services actually offered at launch.

Confirmation required before operative publication

Confirm the exact registered contracting entity, CAC number, registered and service addresses, legal contact, effective date and authorised signatory. No binding effective date has been set.

2. Your relationship with the platform

These proposed terms cover employee participation through an organisation programme. Your employer remains responsible for its employment commitments. PanovaaX access does not create employment with PanovaaX, guarantee a benefit allocation or establish a cash claim.

Your personal login and account are separate from the organisation membership connecting you to a programme. Joining should use the checked invitation or approval process, and you should not use another person's invitation or identity.

Confirmation required before operative publication

Confirm employee eligibility, age requirements and the programme documents provided to each employee.

3. Accounts, verification and safe use

Provide accurate details, keep credentials secure and report unauthorised activity. Personal verification depends on the required information and confirmed contact; it is not a promise that every participant, employer or service has a regulatory approval.

Do not fabricate identity details, transfer another person's entitlement without permission, manipulate a referral or transaction, or bypass eligibility and booking controls. Verification of membership does not itself qualify a referral reward.

Confirmation required before operative publication

Confirm required information, identity support and appeal arrangements for incorrect verification decisions.

4. Benefits and PBU

Available benefits depend on your organisation's programme, allocation, eligibility and participating services in the relevant location. Review the actual offer before choosing a service. Illustrative catalogue examples are not entitlements and Launch List interest is not a paid booking.

PBU means PanovaaX Benefit Units. The public reference currently describes one PBU as ₦5,000 of eligible benefit value, not unrestricted cash. It must not be treated here as legal tender, a bank deposit, stored value or a payment instrument. The final programme rules and legal classification remain subject to confirmation.

Confirmation required before operative publication

Confirm permitted redemption, transfers if any, expiry if any, reversals, value changes and treatment when employment or programme membership ends.

5. Bookings, charges and service issues

For a confirmed service, check supplier identity, location, service conditions, full price and any applicable booking terms before agreeing or paying. Online payment must be verified before a paid reservation is confirmed. A service provider may have lawful terms that must be disclosed at the time of booking.

Raise problems with an undelivered or unsuitable service through the confirmed support and supplier channels. Consumer remedies and lawful cancellation rights cannot be removed by this preliminary draft. No universal refund, cancellation or no-show rule is set here.

Confirmation required before operative publication

Confirm complaint routes, cancellation/rescheduling, refund responsibility, chargebacks and how failed or duplicate payments are resolved.

6. Privacy and organisation access

Your employer should receive only appropriate programme information under a documented lawful purpose, not unrestricted access to your personal account or private conversations. Information necessary to fulfil a selected service may be shared with the relevant provider under the applicable notice.

Avoid posting unnecessary sensitive information about yourself or other people. Rights requests and account closure must follow a confirmed process, with lawful retention distinguished from continued programme access.

Confirmation required before operative publication

Confirm precisely what employers see, optional data uses and the privacy request channel.

7. Leaving, restrictions and continuity

Leaving an organisation is separate from closing your personal account. Programme access may change under approved eligibility rules, but pending bookings, complaints and accrued rights need fair treatment. No forfeiture of unused benefits is adopted by this draft.

Restrictions for security or unlawful use should be proportionate, with review where lawful and practical. You should have a way to report a mistaken restriction.

Confirmation required before operative publication

Confirm exit balances, ongoing service treatment and appeal/support procedures.

8. Intellectual property and submitted materials

PanovaaX and its licensors retain their respective rights in platform software, branding, designs and original materials. Once operative terms have been agreed, participants receive only the limited permission needed to use the service as authorised; no ownership is transferred by access to the platform.

Participants retain rights they lawfully hold in materials they submit and must not upload content that infringes another person's rights. A limited licence to host, display and process submitted materials solely for providing the agreed services should be documented. Public marketing reuse, transfer of ownership and use of personal images require a separate lawful permission where needed.

Confirmation required before operative publication

Counsel must approve the licence scope, duration, termination treatment, contributor assignments and infringement reporting process.

9. Responsibility, liability and indemnities

Each party should be responsible for its own unlawful conduct, misrepresentations, contractual failures and failures to take reasonable care, to the extent provided by applicable law. Nothing in the final agreement should exclude non-excludable consumer rights or liability that Nigerian law does not permit to be excluded.

No promise of uninterrupted access, guaranteed business outcomes, financial returns or universal service availability is made by this draft. Equally, platform limitations must not be used to remove mandatory duties, responsibility for fraud or legally protected remedies.

Any proposed liability cap, excluded loss category or indemnity must be proportionate to the actual relationship, clearly disclosed and reviewed for fairness. No monetary cap or blanket user indemnity is adopted in this draft.

Confirmation required before operative publication

Confirm risk allocation, insurance and any narrowly scoped third-party claim indemnity. Counsel must assess enforceability, negligence, fraud, data incidents and consumer protections before publication.

10. Complaints, governing law and disputes

Contact support@panovaax.com for account, service, payment or privacy concerns. General enquiries may be sent to hello@panovaax.com. Include the relevant reference and a description of the issue, but do not send passwords, payment credentials or unnecessary sensitive information. The intended primary legal context is the law of the Federal Republic of Nigeria, subject to counsel confirmation and mandatory protections applying elsewhere.

The proposed first step is a good-faith attempt to resolve the issue, without restricting access to a competent regulator, legally available urgent relief or non-waivable statutory rights. This draft does not impose an arbitration agreement, exclusive court venue, mandatory negotiation period or deadline for claims.

Confirmation required before operative publication

Confirm operational response and escalation commitments. Counsel must validate dispute provisions, jurisdiction, consumer fairness and electronic acceptance.

11. Changes, effective date and acceptance

This draft is version 0.2, updated on 31 October 2026 with confirmed contact channels and current platform safeguards. Its effective date is not confirmed. Approved terms should identify the applicable version, explain material changes and use reasonable notice and explicit acceptance where the law or relationship requires it.

Visiting a page, viewing a preview or remaining silent does not create a recorded acceptance under this draft. Existing business contracts and mandatory law are not replaced by these preliminary pages.

Confirmation required before operative publication

Before activation, approve an acceptance mechanism, delivery of a retainable copy, change notices and treatment of participants who do not accept revised terms.
