Draft document, not yet effective

Not approved, not effective and not evidence of regulatory compliance. Reading these pages does not constitute acceptance.

Questions about these terms: support@panovaax.com

1. Operator and document status

This preliminary document is prepared for PanovaaX Technologies Ltd, the proposed operator of PanovaaX. It is a first draft for founder and Nigerian legal counsel review, not an approved policy or a representation of regulatory compliance. It does not take effect merely because it is displayed or read.

PanovaaX connects organisations, their people and participating merchants and service providers through lifestyle benefits, everyday services and experiences. The features and contractual responsibilities described here must be checked against the services actually offered at launch.

Confirmation required before operative publication

Confirm the exact registered contracting entity, CAC number, registered and service addresses, legal contact, effective date and authorised signatory. No binding effective date has been set.

2. Who these policies cover

These policies describe how PanovaaX intends to operate across everything it offers: employer benefit programmes, personal and employee accounts, PanovaaX Benefit Units, the marketplace, merchant and service provider listings, bookings, savings goals, community spaces, PX SI guidance, partnerships, investor access and support.

They apply alongside the specific terms for each audience. Where a specific term and these policies differ, the specific approved term should take priority once both are final.

Confirmation required before operative publication

Confirm document precedence and which policies apply to each audience at launch.

3. Fair and respectful use

Everyone should use PanovaaX honestly, respectfully and only for its intended purpose. Harassment, discrimination, impersonation, misleading content, spam, scraping, attempts to bypass security and any unlawful activity are not acceptable.

PanovaaX may review reported conduct, limit features, suspend access or remove content where reasonably necessary to protect people and the platform, using a fair process with a way to respond or appeal.

Confirmation required before operative publication

Approve the enforcement steps, notice process and appeal route.

4. Benefits, PBU and savings goals

Benefits depend on each organisation's programme, allocation and eligibility, and on participating services in the relevant location. PanovaaX Benefit Units are a way to use benefits across categories and are focused on experiences and services, not cash.

Savings goals help people plan for things that matter to them. Employer matching shown on a savings goal is a commitment recorded by the organisation; it is not a deposit, bank account, investment or interest-bearing product, and PanovaaX does not hold savings money through this feature.

Confirmation required before operative publication

Counsel must confirm PBU classification, matching treatment, tax handling and whether any savings feature requires a licensed partner before money is ever involved.

5. Payments, refunds and cancellations

Payments are processed through approved payment partners, and a booking or subscription is confirmed only after the payment is verified. PanovaaX does not simulate payments or treat unverified payments as complete.

Refund, cancellation, no-show and failed payment outcomes should be clear before purchase and applied consistently. Mandatory consumer rights are not limited by these policies.

Confirmation required before operative publication

Approve refund and cancellation windows, chargeback handling and settlement timelines before publication.

6. Merchants and service providers

Businesses on PanovaaX should describe their offers, prices and availability accurately, deliver what they list, treat customers fairly and keep required licences and permits current.

Listings are reviewed before they are shown as available. Commissions apply only to completed, verified transactions under an agreed commercial schedule. Clicks, views or referrals alone are never treated as sales.

Confirmation required before operative publication

Confirm listing review standards, quality monitoring and removal process.

7. Community, content and PX SI

Community spaces should stay supportive and on topic. Members are responsible for what they post and should respect others' privacy and rights.

PX SI provides general guidance about PanovaaX. It may be wrong or incomplete and does not provide legal, financial, medical or professional advice. Important decisions should be checked with a qualified person.

Confirmation required before operative publication

Approve moderation standards and PX SI disclosure wording.

8. Privacy, data and security

PanovaaX collects only the information needed to provide its services, keeps personal accounts separate from organisation membership, and does not show employees' private balances to others. Employers see programme information, not personal spending detail beyond what an approved programme requires.

Access to sensitive records is limited to authorised people and recorded. Suspected security issues should be reported promptly so they can be investigated.

Confirmation required before operative publication

Align with the final Privacy Policy, data map, retention schedule and incident process.

9. Fraud, misuse and reporting concerns

Creating false accounts, misusing benefits, manipulating referrals, reselling benefits or attempting payment fraud may lead to reversal of affected value, account limits and, where appropriate, reporting to authorities.

Anyone can report a concern through the support area of their account. Reports are reviewed in good faith and people who report honestly will not be penalised for doing so.

Confirmation required before operative publication

Confirm the reporting contact, investigation steps and whistleblowing protections.

10. Inclusion and accessibility

PanovaaX aims to be usable by everyone, including people using assistive technology or reduced motion settings, and to offer benefits that suit different lives and stages.

Confirmation required before operative publication

Confirm accessibility standard and feedback route.

11. Complaints, governing law and disputes

Contact support@panovaax.com for account, service, payment or privacy concerns. General enquiries may be sent to hello@panovaax.com. Include the relevant reference and a description of the issue, but do not send passwords, payment credentials or unnecessary sensitive information. The intended primary legal context is the law of the Federal Republic of Nigeria, subject to counsel confirmation and mandatory protections applying elsewhere.

The proposed first step is a good-faith attempt to resolve the issue, without restricting access to a competent regulator, legally available urgent relief or non-waivable statutory rights. This draft does not impose an arbitration agreement, exclusive court venue, mandatory negotiation period or deadline for claims.

Confirmation required before operative publication

Confirm operational response and escalation commitments. Counsel must validate dispute provisions, jurisdiction, consumer fairness and electronic acceptance.

12. Changes, effective date and acceptance

This draft is version 0.2, updated on 31 October 2026 with confirmed contact channels and current platform safeguards. Its effective date is not confirmed. Approved terms should identify the applicable version, explain material changes and use reasonable notice and explicit acceptance where the law or relationship requires it.

Visiting a page, viewing a preview or remaining silent does not create a recorded acceptance under this draft. Existing business contracts and mandatory law are not replaced by these preliminary pages.

Confirmation required before operative publication

Before activation, approve an acceptance mechanism, delivery of a retainable copy, change notices and treatment of participants who do not accept revised terms.
