Questions about these terms: support@panovaax.com

1. Operator and document status

This preliminary document is prepared for PanovaaX Technologies Ltd, the proposed operator of PanovaaX. It is a first draft for founder and Nigerian legal counsel review, not an approved policy or a representation of regulatory compliance. It does not take effect merely because it is displayed or read.

PanovaaX connects organisations, their people and participating merchants and service providers through lifestyle benefits, everyday services and experiences. The features and contractual responsibilities described here must be checked against the services actually offered at launch.

Confirmation required before operative publication

Confirm the exact registered contracting entity, CAC number, registered and service addresses, legal contact, effective date and authorised signatory. No binding effective date has been set.

2. Employer relationship and programme scope

These proposed terms apply to organisations arranging benefits for their people and authorised representatives administering that programme. A signed commercial schedule should identify the organisation, programme scope, eligible participants, available services and the respective duties of PanovaaX and the employer.

PanovaaX supports programme administration and service access; this draft does not make PanovaaX the employer of participating employees or transfer the employer's employment-law obligations.

Confirmation required before operative publication

Confirm contracting authority, commercial schedule, programme commencement and whether different group companies need separate agreements.

3. Membership and participant information

An organisation must use checked invitations or joining processes and provide accurate, necessary membership information. Personal login identity is independent of organisation membership. Removing an employee from a programme must not grant the employer control over that person's account or private data.

Representatives should keep eligibility information accurate and review administrator access when roles change. Only authorised people may allocate benefits or administer programme records. An organisation-scoped identifier is not permission to assign someone to an organisation outside the checked process.

Confirmation required before operative publication

Confirm eligibility criteria, joining/leaving dates, administrator delegation and handling of disputed membership.

4. Allocations, funding and employment responsibilities

The employer is responsible for the programme commitments it makes to its people and for applying its allocation criteria lawfully. Applicable allocations, funding, service restrictions and PBU reference treatment must be documented before a programme becomes operative.

No statement in this draft authorises payroll deductions, replaces wages, guarantees tax treatment or determines whether an entitlement is a contractual employment benefit. Employers should obtain employment, payroll and tax advice for their actual programme.

Confirmation required before operative publication

Confirm funding model, contribution arrangements, payroll permissions if any, tax treatment, allocations, benefit changes, exit treatment and any expiry rules.

5. Fees, services and reporting

Prices, subscriptions, charges, taxes, service levels and invoicing arrangements belong in an approved commercial schedule. No fee or commission is created by this draft. Availability depends on confirmed providers and locations, not an assurance that every catalogue example can be purchased.

Programme reports should be limited to appropriate operational information. Reporting access must not permit monitoring of unrelated personal activity or private conversations. Any promised reporting frequency, service level or integration must match actual capabilities.

Confirmation required before operative publication

Confirm invoice and payment terms, renewal/cancellation, permitted reporting, support arrangements and remedies for service failure.

6. Privacy, confidentiality and restricted use

Each party must protect confidential business and participant information and use it only for agreed purposes or a lawful obligation. The employer must establish its lawful basis for sharing employee information and provide appropriate employee notices.

A separate data-processing or data-sharing agreement may be required depending on the parties' actual roles. Administrators must not share credentials, export information without authority or use the platform for discriminatory or unlawful employment decisions.

Confirmation required before operative publication

Confirm data roles, employee notices, permitted disclosures, security duties and confidentiality exceptions.

7. Ending the programme

A programme may end under the approved contract, but termination must address existing participant entitlements, pending services, complaints and required records. A departing organisation must not unilaterally take over personal accounts.

Any transition assistance, reimbursement, benefit reversal or post-termination access needs an express agreed rule. This draft does not confiscate unused allocations or set a notice period.

Confirmation required before operative publication

Approve termination grounds, notice, final reconciliation and participant communications.

8. Intellectual property and submitted materials

PanovaaX and its licensors retain their respective rights in platform software, branding, designs and original materials. Once operative terms have been agreed, participants receive only the limited permission needed to use the service as authorised; no ownership is transferred by access to the platform.

Participants retain rights they lawfully hold in materials they submit and must not upload content that infringes another person's rights. A limited licence to host, display and process submitted materials solely for providing the agreed services should be documented. Public marketing reuse, transfer of ownership and use of personal images require a separate lawful permission where needed.

Confirmation required before operative publication

Counsel must approve the licence scope, duration, termination treatment, contributor assignments and infringement reporting process.

9. Responsibility, liability and indemnities

Each party should be responsible for its own unlawful conduct, misrepresentations, contractual failures and failures to take reasonable care, to the extent provided by applicable law. Nothing in the final agreement should exclude non-excludable consumer rights or liability that Nigerian law does not permit to be excluded.

No promise of uninterrupted access, guaranteed business outcomes, financial returns or universal service availability is made by this draft. Equally, platform limitations must not be used to remove mandatory duties, responsibility for fraud or legally protected remedies.

Any proposed liability cap, excluded loss category or indemnity must be proportionate to the actual relationship, clearly disclosed and reviewed for fairness. No monetary cap or blanket user indemnity is adopted in this draft.

Confirmation required before operative publication

Confirm risk allocation, insurance and any narrowly scoped third-party claim indemnity. Counsel must assess enforceability, negligence, fraud, data incidents and consumer protections before publication.

10. Complaints, governing law and disputes

Contact support@panovaax.com for account, service, payment or privacy concerns. General enquiries may be sent to hello@panovaax.com. Include the relevant reference and a description of the issue, but do not send passwords, payment credentials or unnecessary sensitive information. The intended primary legal context is the law of the Federal Republic of Nigeria, subject to counsel confirmation and mandatory protections applying elsewhere.

The proposed first step is a good-faith attempt to resolve the issue, without restricting access to a competent regulator, legally available urgent relief or non-waivable statutory rights. This draft does not impose an arbitration agreement, exclusive court venue, mandatory negotiation period or deadline for claims.

Confirmation required before operative publication

Confirm operational response and escalation commitments. Counsel must validate dispute provisions, jurisdiction, consumer fairness and electronic acceptance.

11. Changes, effective date and acceptance

This draft is version 0.2, updated on 31 October 2026 with confirmed contact channels and current platform safeguards. Its effective date is not confirmed. Approved terms should identify the applicable version, explain material changes and use reasonable notice and explicit acceptance where the law or relationship requires it.

Visiting a page, viewing a preview or remaining silent does not create a recorded acceptance under this draft. Existing business contracts and mandatory law are not replaced by these preliminary pages.

Confirmation required before operative publication

Before activation, approve an acceptance mechanism, delivery of a retainable copy, change notices and treatment of participants who do not accept revised terms.
