Questions about these terms: support@panovaax.com

1. Operator and document status

This preliminary document is prepared for PanovaaX Technologies Ltd, the proposed operator of PanovaaX. It is a first draft for founder and Nigerian legal counsel review, not an approved policy or a representation of regulatory compliance. It does not take effect merely because it is displayed or read.

PanovaaX connects organisations, their people and participating merchants and service providers through lifestyle benefits, everyday services and experiences. The features and contractual responsibilities described here must be checked against the services actually offered at launch.

Confirmation required before operative publication

Confirm the exact registered contracting entity, CAC number, registered and service addresses, legal contact, effective date and authorised signatory. No binding effective date has been set.

2. Scope, documents and contracting parties

These proposed general terms cover access to the PanovaaX website and platform. Employer, employee, merchant and service-provider terms address their particular relationships. PBU terms are a separate provisional schedule. The Privacy Policy describes personal-data processing and is not a substitute for a lawful processing basis or a signed data-processing agreement.

A service may also require a confirmed order, provider agreement or employer programme schedule. The identity of the supplier, the applicable price, service description and any cancellation conditions must be disclosed before a transaction. Illustrative previews and Launch List interest are not confirmed offers or service contracts.

Confirmation required before operative publication

Confirm the order of precedence between these terms, signed agreements, order terms and participant schedules, and identify when and with whom each contract forms.

3. Eligibility and personal accounts

Participants must have the legal capacity and authority required for the relationship they enter. An organisation representative must be authorised to act for that organisation. A personal account and login remain distinct from any organisation membership; an employer must not be treated as owning a person's personal account.

Users should supply accurate information, protect credentials and report suspected misuse. Organisation membership must follow the checked invitation or joining process. Approval of a merchant or organisation does not guarantee every service or establish a regulatory licence. Verification is separate from referral reward qualification.

Confirmation required before operative publication

Confirm age eligibility, treatment of minors, authority checks, account recovery and any identity evidence required. Do not assume all users are adults or adopt an age threshold without approval.

4. Acceptable use and platform safety

Participants must not impersonate another person, provide fabricated evidence, misrepresent service availability, infringe rights, harass others, distribute malicious files or access records without permission. They must not manipulate benefit allocations, booking capacity, transaction references, referral qualification or verification processes.

Automated misuse, credential sharing that defeats access controls and attempts to bypass security are prohibited in the proposed framework. Legitimate reporting of a security issue should use the agreed reporting process. Public content and community participation may need a separate, proportionate moderation policy.

Confirmation required before operative publication

Approve moderation standards, security reporting contact and lawful content-removal and appeal processes.

5. Benefits, services and payments

Benefit access depends on the applicable organisation programme, allocation, eligibility, location and confirmed participating service. A public example does not promise entitlement. The Launch List records interest in a service that is not yet confirmed as available.

Where online booking is offered, the service, supplier, full price, charges and applicable cancellation conditions should be presented before payment. A payment attempt is not proof of a paid reservation; confirmation depends on verified payment and the booking rules actually implemented. Payment processors have separate applicable conditions and privacy disclosures.

Confirmation required before operative publication

Confirm supplier versus intermediary roles, who receives funds, applicable fees and taxes, payment methods, payment failures, refunds, chargebacks and customer escalation. This draft sets no refund window.

6. Suspension, account closure and retained obligations

Proportionate restrictions may be appropriate for suspected fraud, security risks, unlawful use or a material breach of an operative agreement. Reasons, notice and an opportunity to challenge a restriction should be provided where lawful and practical; immediate protective action may be necessary for urgent risks.

Closing an account or ending an organisation membership must not silently erase accrued rights, unresolved complaints or required transaction records. The treatment of pending bookings, unused benefits and access to personal records needs separate confirmation. Retention and deletion follow lawful, approved schedules, not an unlimited retention entitlement.

Confirmation required before operative publication

Confirm suspension decision authority, review/appeal routes, termination notice, exit balances and outstanding service treatment.

7. Intellectual property and submitted materials

PanovaaX and its licensors retain their respective rights in platform software, branding, designs and original materials. Once operative terms have been agreed, participants receive only the limited permission needed to use the service as authorised; no ownership is transferred by access to the platform.

Participants retain rights they lawfully hold in materials they submit and must not upload content that infringes another person's rights. A limited licence to host, display and process submitted materials solely for providing the agreed services should be documented. Public marketing reuse, transfer of ownership and use of personal images require a separate lawful permission where needed.

Confirmation required before operative publication

Counsel must approve the licence scope, duration, termination treatment, contributor assignments and infringement reporting process.

8. Responsibility, liability and indemnities

Each party should be responsible for its own unlawful conduct, misrepresentations, contractual failures and failures to take reasonable care, to the extent provided by applicable law. Nothing in the final agreement should exclude non-excludable consumer rights or liability that Nigerian law does not permit to be excluded.

No promise of uninterrupted access, guaranteed business outcomes, financial returns or universal service availability is made by this draft. Equally, platform limitations must not be used to remove mandatory duties, responsibility for fraud or legally protected remedies.

Any proposed liability cap, excluded loss category or indemnity must be proportionate to the actual relationship, clearly disclosed and reviewed for fairness. No monetary cap or blanket user indemnity is adopted in this draft.

Confirmation required before operative publication

Confirm risk allocation, insurance and any narrowly scoped third-party claim indemnity. Counsel must assess enforceability, negligence, fraud, data incidents and consumer protections before publication.

9. Complaints, governing law and disputes

Contact support@panovaax.com for account, service, payment or privacy concerns. General enquiries may be sent to hello@panovaax.com. Include the relevant reference and a description of the issue, but do not send passwords, payment credentials or unnecessary sensitive information. The intended primary legal context is the law of the Federal Republic of Nigeria, subject to counsel confirmation and mandatory protections applying elsewhere.

The proposed first step is a good-faith attempt to resolve the issue, without restricting access to a competent regulator, legally available urgent relief or non-waivable statutory rights. This draft does not impose an arbitration agreement, exclusive court venue, mandatory negotiation period or deadline for claims.

Confirmation required before operative publication

Confirm operational response and escalation commitments. Counsel must validate dispute provisions, jurisdiction, consumer fairness and electronic acceptance.

10. Changes, effective date and acceptance

This draft is version 0.2, updated on 31 October 2026 with confirmed contact channels and current platform safeguards. Its effective date is not confirmed. Approved terms should identify the applicable version, explain material changes and use reasonable notice and explicit acceptance where the law or relationship requires it.

Visiting a page, viewing a preview or remaining silent does not create a recorded acceptance under this draft. Existing business contracts and mandatory law are not replaced by these preliminary pages.

Confirmation required before operative publication

Before activation, approve an acceptance mechanism, delivery of a retainable copy, change notices and treatment of participants who do not accept revised terms.
